AI-POWERED CLOUD ERP PLATFORM
Contract Lifecycle covers the full journey of a contract inside your business: the request that starts it, the drafting and negotiation, the approvals, the signature, and everything that follows once it is signed — obligations, renewals, amendments, and expiry. When pieces of this process run in email threads, shared drives, and disconnected tools, contracts get signed without the right approvals, obligations get missed, and renewals arrive as surprises. SutiERP runs the full lifecycle in one system so nothing falls through between the request and the renewal.

Contracts touch legal, finance, procurement, sales, and HR. Most contract problems are not drafting problems. They are process problems: the wrong version reviewed, the approval missed, the obligation nobody tracked, the renewal nobody saw coming.
When approval workflows run through email, there is no enforcement. A contract reaches the wrong person, legal review gets skipped under time pressure, or a high-value agreement goes out with one signature when policy requires two. The audit trail is a chain of emails — hard to reconstruct, impossible to enforce in advance.
Once a contract is signed, the obligations inside it — delivery milestones, payment schedules, reporting requirements, SLA commitments — need tracking. With no system connecting the signed document to an obligation register, those commitments live only in the text. Teams learn of a missed obligation when the other party raises it.
A contract expiring in 30 days with no renewal in progress is a risk: a supplier relationship that lapses, a customer agreement that auto-renews on unfavorable terms, a service that goes uncovered. When expiry dates live in a manually-updated spreadsheet, the alerts arrive too late — or not at all.
The table below shows each step of the Contract Lifecycle process, which product handles it, and whether it runs automatically or requires a human decision. The process covers both the pre-signature cycle and the post-signature obligations that most CLM tools do not manage.
Contract request is submitted through a structured intake form covering contract type, counterparty, key terms, and business owner. The correct template is selected and assigned automatically based on contract type. Incomplete or out-of-policy requests are flagged before drafting begins.
Automatic
Draft generates from the approved template library based on the contract type and terms submitted at intake. Pre-approved standard clauses populate automatically. Non-standard terms or missing required fields are flagged for the drafting team before the document moves forward.
Automatic
Legal or the designated contract owner reviews the draft, edits clauses, and finalizes the internal position. All changes are tracked against the original template. Non-standard language is flagged against the approved clause library so deviations are visible before the contract leaves the building.
Human decision
Approval workflow routes to the configured approvers in sequence based on contract type, value, and risk tier. Each approver receives a task with the contract document and relevant context. Approvals that stall past the configured deadline escalate automatically. No contract advances without completing the full approval chain.
Automatic
Contract is shared with the counterparty for review through the platform. Counterparty redlines are imported and compared against the approved clause library automatically. Non-standard language and deviations from the approved position are flagged for legal review before any response is sent.
Automatic
Legal and business teams review flagged counterparty redlines and decide which to accept, reject, or counter. Every negotiation exchange is recorded in the platform with version history maintained throughout. No negotiation happens outside the system.
Human decision
Agreed final version routes through the execution approval workflow. Final approvers confirm the negotiated terms are acceptable before signature is requested. This step is separate from the initial internal approval and applies to the post-negotiation version.
Human decision
Signature request sends directly from the contract record to all required signatories. Signing sequence is enforced where configured. The counterparty signs via SutiSign without the contract leaving the platform. The fully executed document returns to the contract record automatically with a tamper-proof audit trail.
Automatic
Key obligations, milestones, payment terms, SLA commitments, and reporting requirements are logged against the executed contract record. Obligation due dates trigger alerts at configured lead times. Obligations approaching their deadline without a completion record escalate automatically.
Automatic
Executed contract and all associated documents — amendments, exhibits, correspondence — are stored in a structured repository with version control. Access is governed by role-based permissions. Prior versions are archived automatically when a new version is approved.
Automatic
Renewal alerts send at the configured lead time before the contract expiry date. Contracts without a renewal action in progress past the first alert escalate automatically. Amendment requests follow the same intake, drafting, approval, and execution workflow as new contracts, linked to the parent record.
Automatic
7 of 11 steps run automatically.
Internal drafting, counterparty negotiation, final pre-execution approval, and signature stay with your team.
Compliance
Contract Lifecycle carries legal enforceability, approval control, data handling, and obligation tracking requirements. The following apply specifically to this process.
Every step from intake through drafting, approval, negotiation, execution, and post-signature management carries a full timestamped record. The complete history of every contract — who drafted it, who approved it, what changed in negotiation, when it was signed, and by whom — is accessible without manual reconstruction.
Contracts cannot advance to execution without completing the configured approval chain. Approval rules are enforced at the platform level, not by policy document. The approval record shows who approved, when, and at what stage of the contract lifecycle.
Every version of a contract document is retained. Changes are tracked against the prior version throughout drafting and negotiation. Non-standard clauses are flagged against the approved library. Auditors can see exactly what changed and when across the full negotiation history.
Signatures executed through SutiSign carry a tamper-proof audit trail including signer identity, timestamp, and document hash. Signed documents are returned to the contract record automatically and cannot be altered after execution.
Post-signature obligations are logged against the contract record and tracked to completion. Missed obligations are escalated before the counterparty raises them. The obligation record is part of the contract audit trail.
All contract transactions, approval decisions, and automated actions are covered under the SOC 2 Type II audit scope with a tamper-proof audit trail. Independently audited annually.
Counterparty and personal data in contracts is processed within GDPR-compliant data handling. Access to contract records is governed by role-based permissions. Relevant for businesses contracting with European entities.
Connected processes
If you manage supplier relationships, customer accounts, or employee agreements alongside contract management, SutiERP connects them without separate integrations or data re-entry.
If you also run supplier procurement
When a supplier contract is executed, the supplier activates in SutiProcure automatically. Your procurement team can raise purchase orders against agreed terms immediately. Price, scope, and volume are validated against the contract on every PO without a manual check.
If you also run customer accounts
When a customer contract is executed, the commercial relationship activates in SutiCRM automatically. Your sales and account management teams work from the agreed terms without re-entering pricing or scope. Order to Cash runs against the executed contract from day one.
If you also run HR & people
Employment agreements and contractor agreements executed through this process link directly to the employee or contractor record in SutiHR. HR does not maintain a separate contract file. The agreement and the employee record are connected in one system.
Handles everything from the initial contract request through drafting, approval, negotiation, signature, and post-signature obligation and renewal management.
Manages eSignature for all parties. Contracts route directly from SutiCLM for signing and return to the contract record automatically on completion.
Stores all contract documents, versions, and associated files in a structured repository with role-based access. Prior versions archive automatically when a new version is approved.
Tracks contract cycle times, obligation status, and renewal and expiry dates across the full contract portfolio in real time.
Most conversations start with one of three gaps. Contracts go out without the right approvals, obligations are not tracked after signature, or renewal dates surface too late to act on. From there, it is straightforward to show where SutiERP closes the gaps.
